General Terms and Conditions of Sale

1.- Scope of application

These General Terms and Conditions shall govern the purchase of the services provided by the Asociación Centro de Investigación Cooperativa en Biociencias – CIC bioGUNE (Center for Cooperative Research in Biosciences – CIC bioGUNE) (hereinafter, “CIC bioGUNE”), unless the specific terms of the corresponding quote, the acceptance of the order, or of the formalised contract provide otherwise, which shall include the specific terms and conditions for the provision of the services. No other terms and conditions other than the foregoing terms shall be applicable or of any legal effect whatsoever if not expressly accepted by CIC bioGUNE.

It shall be considered that these General Terms and Conditions have been notified to and accepted by the applicant and recipient of the service (hereinafter, the “Client”), as from the moment in time at which the applicant or recipient has been redirected to said General Terms and Conditions via the web page that include said General Terms and Conditions, or when a quote has been received thereby that attached said General Terms and Conditions. Furthermore, said General Terms and Conditions shall be deemed to have been notified and accepted, if the Client has previously received a copy thereof in the course of its commercial relationship with CIC bioGUNE. In any event, the formalisation of the order shall be considered to constitute express acceptance thereof by the Client.

2.- Offers and Quotes

The validity of the quotes and offers shall be that of 30 days as from the date of issue thereof, unless any other period is established in the Specific Terms and Conditions thereof.

The quotes shall include the Specific Terms and Conditions, the method of payment and the delivery dates.

3.- Prices

The prices set out in the quote shall be deemed to be subject to the payment terms and conditions set out in said quote. If said payment terms and conditions are modified, the prices shall be reviewed.

After the order has been accepted, the prices for the service shall be considered to be fixed prices and not subject to review. Notwithstanding the foregoing, the readjustment of the prices thereof shall be applicable when:

  • A price review has been agreed to between the Client and CIC bioGUNE.
  • The date of delivery or of acceptance has been delayed for reasons directly or indirectly attributable to the Client.
  • The scope of the service has been modified at the request of the Client.

4.- Dates of Execution

The dates of execution of the service that are set out in the quote shall always be approximate dates and shall be subject to review in the following situations:

  • If a review of the delivery dates or the timetable for the execution of the services has been agreed to between the Client and CIC bioGUNE.
  • The date of delivery has been delayed for reasons directly or indirectly attributable to the Client.
  • The staff of CIC bioGUNE that are involved in the provision of the service shall notify the Client of any delays to the scheduled dates, if said delays may affect the conditions of the service.

5.- Formalisation of orders and scope of the Service

The acceptance and processing of the order shall only be effective as from the moment in time at which the Client has confirmed the acceptance of the quote or has placed an order for a service, with the clearly established scope.

In the case that any discrepancies exist in relation to the scope of the service, between the quote issued by CIC bioGUNE and the order of the Client, the staff of CIC bioGUNE shall notify the Client thereof prior to the provision of the service, in order to carry out the necessary modifications so as to remove said discrepancies and so as to harmonise said criteria.

It shall be presumed that any person that acts in the name of the Client is the representative thereof and acts on behalf thereof, and has sufficient powers in order to act on behalf thereof, and accordingly any instructions received from said person shall be completely binding.

The modifications and/or variations of the scope of an order must always be notified to CIC bioGUNE in writing.

The provision of the service shall only and exclusively include that which is set out in the order. Any other Service, work or activity, that is not expressly included in the order of the Client and that is necessary, whether directly or indirectly for the execution of the contract, shall be for the cost and account of the Client.

6.- Subcontracting

CIC bioGUNE may subcontract the services of any part of this contract in favour of any third party. Notwithstanding the foregoing, CIC bioGUNE shall remain totally liable for the quality and the execution date of the contracted services.

7.- Payment Terms and Conditions

The payment terms and conditions shall be set out in the quotes.

In the case of any payment delay or default by the Client, the Client shall be required to pay to CIC bioGUNE, without the need for any formal request whatsoever and as from the stipulated payment date, penalty interest for the defaulted payment, pursuant to the terms of Act 3/2004, of 29 December, which established measures for the fight against payment default in commercial operations.

In the case that the Client delays or fails to effect the established payments, CIC bioGUNE may provisionally or definitively suspend, at its discretion, the execution of the established Services, without prejudice to the right thereto to require the Client to effect the defaulted payments and to claim, as the case may be, any additional compensation for any losses and damages incurred by CIC bioGUNE from the suspension of the execution of the services.

8.- Applicable Law and Jurisdiction

The contract shall be governed by the legislation that corresponds to the registered office of CIC bioGUNE. The parties shall use their best endeavours to amicably resolve all of the issues that may arise as a result of the interpretation or performance of this contract. In the event that it was not possible to amicably resolve said issue, the parties hereby submit themselves to the jurisdiction of the Courts and Tribunals of Bilbao, and expressly waive any rights to any other jurisdiction that may have otherwise been available thereto.

9.- Liability

CIC bioGUNE's liability for any damages shall be limited to the amount of the respective purchase order.

CIC bioGUNE shall not be held liable for any indirect, incidental, special or consequential damages, including without limitation, loss of profits, revenue, goodwill and similar remote damages incurred by CIC bioGUNE whether in a claim in contract or in tort, even if CIC bioGUNE has been advised in advance of the possibility of such damages..

Condiciones Generales de Venta

1.- Ámbito de aplicación

Las presentes Condiciones Generales tienen por objeto regular el régimen de adquisición de los servicios prestados por la Asociación Centro de Investigación Cooperativa en Biociencias – CIC bioGUNE (en adelante, CIC bioGUNE), salvo en todo aquello que esté expresamente acordado de forma distinta en el presupuesto correspondiente, en la aceptación del pedido, o en el contrato firmado, que constituiría las condiciones particulares del mismo. No tendrán valor ni efecto jurídico alguno otras condiciones distintas de las anteriores que no hubieran sido aceptadas explícitamente por CIC bioGUNE.

Se considerará que las presentes Condiciones Generales han sido comunicadas y aceptadas por el solicitante y receptor del servicio (en adelante, el Cliente), desde el momento en que a éste se le comunica la página web en que se encuentran detalladas las mismas remitiéndole a su contenido, o recibe un presupuesto acompañado de estas Condiciones. Igualmente se considerarán como comunicadas y aceptadas, si el Cliente las recibió previamente en el curso de su relación comercial con CIC bioGUNE. En todo caso, la formalización del pedido se considerará como aceptación expresa por el Cliente.

2.- Ofertas y Presupuestos

La validez de los presupuestos y ofertas será de 30 días desde la fecha de su emisión a no ser que se indique plazo distinto en las Condiciones Particulares del mismo.

En los presupuestos se incluirán las Condiciones Particulares, la forma de pago y los plazos de entrega.

3.- Precios

Los precios indicados en el presupuesto se entienden para las condiciones de pago especificadas en dicha presupuesto. Si estas condiciones de pago se modificasen, los precios serían revisados.

Una vez aceptado el pedido, los precios del servicio se consideran fijos y no sujetos a revisión. No obstante, será aplicable un reajuste de precios cuando:

  • Se haya convenido entre el Cliente y CIC bioGUNE una revisión de precio.
  • Se haya retrasado el plazo de entrega o aceptación por causa directa o indirectamente imputable al Cliente.
  • Se haya modificado el alcance del servicio a petición del Cliente.

4.- Plazos de Ejecución

Los plazos de ejecución del servicio definidos en el presupuesto serán siempre orientativos y sujetos a revisión ante las siguientes causas:

  • Se haya convenido entre el Cliente y CIC bioGUNE una revisión de fechas de entrega o calendario de ejecución de servicios.
  • Se haya retrasado el plazo de entrega por causa directa o indirectamente imputable al Cliente.
  • El personal de CIC bioGUNE implicado en la prestación del servicio, avisará al Cliente de los retrasos en fechas planificadas, si dicha desviación puede afectar a las condiciones del servicio.

5.- Formalización de pedidos y alcance del Servicio

La aceptación y tramitación del pedido sólo será efectiva desde el momento en que el Cliente confirme la aceptación del presupuesto o remita un pedido de servicio, con el alcance claramente especificado.

En caso de que existan discrepancias relativas al alcance del servicio, entre el presupuesto remitido por CIC bioGUNE y el pedido del Cliente, el personal de CIC bioGUNE lo notificará con carácter previo al inicio de la prestación, con el objetivo de realizar las modificaciones oportunas hasta que se eliminen dichas discrepancias y se asegure una uniformidad de criterios.

Se presumirá que cualquier persona que actúe en nombre del Cliente, es representante y actúa por cuenta del mismo, y tiene poderes suficientes para actuar como tal, por lo que es totalmente vinculante.

Las modificaciones y/o variaciones del alcance de un pedido deben notificarse a CIC bioGUNE siempre por escrito.

La prestación de servicio incluye únicamente el objeto expresado en el pedido. Cualquier otro Servicio, trabajo o actividad, que no esté incluido de forma explícita en el pedido del Cliente y que sea necesario, directa o indirectamente para la ejecución del contrato, será por cuenta y obligación del Cliente.

6.- Subcontratación

CIC bioGUNE podrá arrendar servicios o subcontratar, respecto de terceros, una parte del objeto del contrato. No obstante, CIC bioGUNE mantendrá la total responsabilidad de la calidad y plazo de ejecución de los servicios contratados.

7.- Condiciones de Pago.

Las condiciones de pago se reflejarán en los presupuestos.

En caso de retraso en los pagos por parte del Cliente, éste tendrá que pagar a CIC bioGUNE, sin requerimiento alguno y a partir de la fecha de vencimiento del pago, los intereses de demora del pago retrasado, con arreglo a lo establecido en la Ley 3/2004, de 29 de diciembre, por la que se establecen medidas de lucha contra la morosidad en las operaciones comerciales.

En caso de que el Cliente incurra en retrasos en los pagos acordados, CIC bioGUNE podrá suspender de forma provisional o definitiva, a su elección, la ejecución de los Servicios acordados, sin perjuicio de requerirse al Cliente la realización de los pagos atrasados y de reclamarse, en su caso, compensaciones adicionales por los daños derivados para CIC bioGUNE de la suspensión de la ejecución de los servicios.

8.- Ley Aplicable y Jurisdicción

El contrato se regirá por la legislación correspondiente al domicilio social de CIC bioGUNE. Las partes procurarán solucionar amistosamente todas las cuestiones que pudieran surgir con motivo de la interpretación o cumplimiento de esta contratación. En el supuesto de que no se pudiese resolver de dicha forma, las partes se someten a la jurisdicción y competencia de los Juzgados y Tribunales de Bilbao, con renuncia expresa a cualquier otro fuero que pudiera corresponderles.

9.- Responsabilidad

La responsabilidad de CIC bioGUNE por cualquier tipo de daños, por los que deba responder, estará limitada al importe del pedido afectado.

Se excluye expresamente la responsabilidad de CIC bioGUNE por cualquier tipo de daños indirectos (a modo de ejemplo, aunque sin limitación alguna se excluye el lucro cesante, pérdida de beneficio, la pérdida de negocio o pedidos o cualquier otra reclamación por daños indirectos, incidentales o consecuenciales causados).
